- • You must be at least 18 to use Somiti. By using the Service, you agree to these Terms.
- • Community Owners are responsible for their members' data and for complying with applicable data protection laws.
- • You own your content. We get a limited license to display it within the Service.
- • Paid plans are billed monthly or annually. Platform fees range from 0.5% to 2% depending on your plan.
- • We do not guarantee specific uptime. We work hard to keep the Service available but outages happen.
- • Disputes go through informal resolution first, then binding arbitration. You can opt out of arbitration within 30 days of creating your account.
- • If we make material changes, we'll give you at least 30 days' notice before they take effect.
1. Acceptance of Terms
Welcome to Somiti, a community management platform operated by WorkersLab LLC ("Company," "we," "our," or "us"). By accessing or using our service at somiti.net, community subdomains (*.somiti.net), custom domains pointed to our platform, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you as an individual and the organization.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Somiti is a software-as-a-service (SaaS) platform that enables organizations to manage their communities, including:
- Member registration and profile management
- Membership tiers with recurring billing
- Event creation, registration, and attendance tracking
- Payment processing for memberships and events
- Communication tools including announcements and notifications
- Document storage and sharing
- Analytics and reporting
- Third-party integrations (Slack, Mailchimp, webhooks)
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration
To use certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Be responsible for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old or the age of majority in your jurisdiction to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Community Owner Responsibilities
If you create a community on Somiti ("Community Owner"), you are responsible for:
- Data Protection: Complying with applicable data protection laws regarding your members' personal information. For details on how data flows between you, your members, and Somiti, see our Privacy Policy Section 2 (Data Controller vs. Data Processor)
- Member Management: Managing your community members fairly and in accordance with your own policies
- Content Moderation: Ensuring content posted within your community complies with these Terms and applicable laws
- Payment Handling: Setting appropriate prices and handling refunds according to your stated policies
- Communication: Providing accurate information to your members about your community
- Third-Party Integrations: Ensuring proper configuration and authorized use of any enabled integrations
You acknowledge that you are the data controller for your members' information, and Somiti acts as a data processor on your behalf. Community administrators who need a formal Data Processing Agreement (DPA) can contact us at the address listed in Section 19.
5. Member Responsibilities
If you join a community as a member, you agree to:
- Provide accurate information when registering
- Comply with the community's rules and policies
- Pay any applicable membership fees or event registration fees
- Respect other members and community administrators
- Not misuse or attempt to circumvent the Service's features
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malware, viruses, or other malicious code
- Harass, abuse, or harm others
- Send spam or unsolicited communications
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service's infrastructure
- Collect or harvest personal information without consent
- Engage in fraudulent activities or misrepresentation
- Promote illegal activities or violence
We reserve the right to investigate violations and take appropriate action, including terminating accounts and reporting to law enforcement.
7. Payments and Billing
7.1 Platform Subscription Plans
Somiti offers the following subscription plans for Community Owners. By subscribing to a paid plan, you agree to pay the applicable fees. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

7.2 Platform Transaction Fees
In addition to subscription fees, we charge platform fees on payments processed through the Service. These fees are deducted from each transaction as shown in the table above. Standard payment processing fees from Stripe apply in addition to our platform fees.
7.3 Payment Processing
Payment processing is handled by Stripe. By using our payment features, you also agree to Stripe's Terms of Service. Standard payment processing fees from Stripe apply in addition to our platform fees.
7.4 Stripe Connect
Community Owners receive payments directly to their connected Stripe accounts. You are responsible for complying with Stripe's terms and maintaining your Stripe account in good standing.
7.5 Refunds
Refund policies for membership fees and event tickets are determined by Community Owners. Community Owners are responsible for issuing refunds when appropriate. Somiti does not provide refunds for platform subscription fees except as required by law.
8. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by WorkersLab LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
"Somiti" and our logo are trademarks of WorkersLab LLC. You may not use our trademarks without our prior written consent.
9. User Content
You retain ownership of content you post, upload, or share through the Service ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of operating and providing the Service.
You represent and warrant that:
- You own or have the right to use and share the User Content
- Your User Content does not violate these Terms or any applicable laws
- Your User Content does not infringe on any third party's rights
We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason.
10. Copyright and DMCA
We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid notices of copyright infringement.
10.1 Filing a Takedown Notice
If you believe that content on the Service infringes your copyright, please send a written notice to our designated agent at the address in Section 19 that includes:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to be infringed
- Identification of the material to be removed, with enough information for us to locate it
- Your contact information (name, address, telephone number, email)
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
10.2 Counter-Notice
If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to our designated agent that includes:
- Your physical or electronic signature
- Identification of the material that was removed and where it appeared before removal
- A statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal courts in Sheridan County, Wyoming
10.3 Repeat Infringer Policy
We will terminate the accounts of users who are determined to be repeat infringers. We consider a repeat infringer to be any user who has been the subject of more than two valid takedown notices.
11. Termination
You may terminate your account at any time by contacting us or using the account deletion feature. We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:
- Violation of these Terms
- Non-payment of fees
- Request by law enforcement or government agencies
- Unexpected technical or security issues
- Extended periods of inactivity
Upon termination, your right to use the Service will immediately cease. Data retention and deletion following termination is governed by our Privacy Policy Section 7 (Data Retention).
12. Service Availability
12.1 No Uptime Guarantee
We work hard to keep Somiti available and reliable, but we do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
12.2 Scheduled Maintenance
We will make reasonable efforts to notify you in advance of any scheduled maintenance that may affect your use of the Service. Routine maintenance is typically performed during off-peak hours.
12.3 Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, government actions or regulations, cyberattacks, third-party service provider outages, pandemics, power failures, or internet disruptions.
12.4 Suspension
We may suspend access to all or part of the Service without notice if we reasonably believe it is necessary for security, legal compliance, or to protect the rights of other users.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- Any defects will be corrected
- The results obtained from using the Service will be accurate or reliable
- The quality of the Service will meet your expectations
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WORKERSLAB LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICE.
15. Indemnification
You agree to defend, indemnify, and hold harmless WorkersLab LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
16.2 Informal Resolution
Before filing any formal dispute, you agree to try to resolve the dispute informally by contacting us at the address in Section 19. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed to binding arbitration.
16.3 Binding Arbitration
Any dispute arising from or relating to these Terms or your use of the Service that is not resolved through informal resolution shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Sheridan County, Wyoming, or at another mutually agreed location.
16.4 Opt-Out
You may opt out of the arbitration agreement by sending written notice to us at the address in Section 19 within 30 days of creating your account. Your notice must include your name, account email address, and a clear statement that you wish to opt out of the arbitration agreement.
16.5 Small Claims Exception
Either party may bring a qualifying claim in small claims court in Sheridan County, Wyoming, or the county where you reside, as an alternative to arbitration.
16.6 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement shall be null and void, and disputes shall be resolved in the state or federal courts located in Sheridan County, Wyoming.
17. Accessibility
We are committed to making Somiti accessible to all users. Our target is conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA.
If you encounter an accessibility barrier while using the Service, please let us know by contacting us at the address in Section 19. We welcome your feedback and will make reasonable efforts to address reported accessibility issues.
18. Changes to Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the "Last updated" date at the top.
For material changes—such as new limitations of liability, changes to dispute resolution, or reduced user rights—we will provide at least 30 days' advance notice via email or a prominent notice on the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
18.1 Assignment
We may assign or transfer these Terms, and any rights and licenses granted under them, without restriction or notice to you. You may not assign or transfer these Terms without our prior written consent.
